An international hospitality platform.
A Global hospitality acquisition platform structured as a Luxembourg master fund with a Cayman feeder, operating under a third-party AIFM. Capital formation anchored by sovereign and family-office capital from the GCC. Currently raising toward target.
The mandate.
An experienced hospitality operator required an institutional fund vehicle to consolidate a global acquisition pipeline. The structure had to accommodate both international institutional LPs and GCC-based family-office and sovereign capital, while providing operational flexibility at the asset level.
GreenPeak coordinated the full capital architecture — fund domiciliation, AIFM selection, feeder design and LP onboarding workflow — and continues to lead capital formation across the GCC and selected international institutional channels.
Capital architecture.
Master Fund — Luxembourg
Regulated master vehicle operating under a third-party AIFM, providing the institutional wrapper for international LPs and the platform's investment activity.
Feeder — Cayman
Tax-neutral feeder for offshore and GCC-based investors, channelling commitments into the Luxembourg master under a unified governance framework.
Operating SPVs
Asset-level special purpose vehicles holding individual hospitality acquisitions, ring-fenced for financing, governance and exit optionality.
The three-layer design separates regulatory, tax and operational concerns: a regulated Luxembourg master under a third-party AIFM, a Cayman feeder for offshore commitments, and asset-level SPVs that preserve financing and exit optionality on each acquisition.
Capital formation.
First close is underway, anchored by GCC sovereign and family-office commitments sourced through GreenPeak's regional relationships. Outreach to additional international institutional LPs and selected GCC investors continues toward the platform's target fund size.
Specific LP names and ticket sizes remain confidential.
